The Federal Tax Service of Russia has clarified that starting from April 26, 2021 in respect of a joint-stock company established by one person or a joint-stock company which, both before and after that date, began to consist of one person, information on the sole shareholder must be entered in the Unified State Register of Legal Entities. Such information shall be entered in the register in accordance with the information specified in the applications for state registration submitted to the registering authority in forms No. R11001, No. R12016 and No. R13014, respectively.

At the same time, the obligation to report information about the sole shareholder within 7 days, as well as the possibility of bringing to administrative responsibility provided for by part 3 and part 4 of article 14.14 of the Law of the Russian Federation. 3 and part 4 of Article 14.25 of the Code of Administrative Offences of the Russian Federation, applies only to cases when one shareholder acquires all shares of the company from April 26, 2021.

The clarifications were made in connection with the entry into force on April 26, 2021 of amendments to Article 5 of the Law on State Registration of Legal Entities and Individual Entrepreneurs with regard to the inclusion in the Unified State Register of Legal Entities of information on the sole shareholder (Letter of the Federal Tax Service dated April 26, 2021 No. KV-4-14/5689@).
